1. Purpose, scope and acceptance
These general terms and conditions of sale and service (the “Terms”) govern access to and use of the Revys service, whatever the plan (Free or Pro). Revys is published by OZAPP SRL, Thier de Jace 108, 4460 Grâce-Hollogne, Belgium, registered with the Crossroads Bank for Enterprises (BCE) under number 1023.139.964 (Register of Legal Entities of Liège, Liège division), VAT BE1023139964 (“OZAPP”, “we”). Revys is an online service (SaaS) for aggregating and displaying customer reviews published on third-party platforms (Google at launch; other platforms to come), with widgets, an API and a reply feature assisted by artificial intelligence (“AI Auto-Reply”).
Revys is reserved for professionals: any natural or legal person using it for the purposes of their professional activity (company, self-employed person, liberal profession, non-profit association, public body) — the “customer”. By creating an account and, where applicable, subscribing to the Pro plan, the customer declares that it is acting in that capacity. The person creating the account declares that they are authorised to bind the customer.
The customer accepts the Terms by ticking the box provided for this purpose when creating its account, and again at each paid subscription. The accepted version and its date are recorded. The Terms are supplemented by the data processing agreement (DPA) and by the privacy policy. They prevail over any terms of the customer.
2. Definitions
- Workspace: the customer’s organisation in Revys, which groups its profiles, widgets, settings and users.
- Profile: a business location connected from a third-party platform (for example a Google Business Profile).
- Third-party platform: a service operated by a third party (Google, Meta…) from which Revys retrieves reviews or on which it publishes replies, through the access the customer grants it.
- AI reply: a reply to a review written by an artificial intelligence model, as a draft or published depending on the mode chosen by the customer.
3. Account, access and connected profiles
The customer provides accurate and up-to-date information and keeps its login credentials confidential. It is responsible for actions taken from its workspace, including by the users it invites.
The customer warrants that it is the owner or authorised manager of each profile it connects, and authorises Revys to read its reviews and, if it enables replies, to publish on its behalf the replies it has approved or for which it has enabled automatic publication. It may withdraw this access at any time from Revys or from the third-party platform; synchronisation and replies for the profile concerned then stop.
4. Plans, prices and price changes
Revys is offered under two plans:
- the Free plan, free of charge with no time limit, limited to one profile, without AI replies or API, with the “Free widget by Revys” credit (“Widget gratuit par Revys” in French) below the widgets, which the customer undertakes not to hide or remove;
- the Pro plan, paid, billed per profile on a degressive (volume-based) scale, on a monthly or yearly basis. It includes the JSON API up to ten thousand (10,000) calls per month per paid profile, pooled across the workspace; beyond that, the API serves the latest cached response available or, failing that, refuses the call until the following month, with no additional charge.
The content of the plans and the current price scale are published on the Pricing page. Prices are intended for professionals and stated excluding taxes, in euros (€) or US dollars ($) depending on the currency offered at subscription; the amount including all taxes is shown before payment. The applicable price is the one displayed at the time of subscription or of adding a profile.
OZAPP may change its price scale for a valid reason, in particular changes in its costs (hosting, artificial intelligence, access to third-party platforms), inflation or the addition of features, no more than once per twelve-month period. The new price is notified by email at least thirty (30) days in advance and applies only from the first subscription renewal date falling after that period: a period already paid for is never charged again. A customer who refuses the new price may cancel online, at no cost, before that renewal date.
Our commitment: the Free plan is genuinely free. No payment card is required to use it, it has no time or view limit, and it never turns into a paid subscription without your knowledge.
5. VAT and invoicing
Value added tax (VAT) is applied according to the situation declared by the customer:
- customer established in Belgium, or established in another European Union Member State without a valid VAT number: Belgian VAT at the rate of 21%, subject to the applicable place-of-supply rules;
- customer established in another European Union Member State and registered for VAT, whose number is validated by the European Commission’s VIES system: invoiced without VAT, the tax being reverse-charged by the customer (Article 196 of Directive 2006/112/EC);
- customer established outside the European Union: no European VAT (Articles 44 and 59 of Directive 2006/112/EC), without prejudice to any taxes the customer may owe in its own country.
The customer warrants the accuracy of its company name, address, country and VAT number, and reports any change without delay. It bears the VAT, interest and penalties that would result from an inaccurate declaration, and OZAPP may re-invoice it for the VAT due.
Invoices are issued electronically and made available in the customer area. Where required by law (in particular between taxable persons established in Belgium), they are also sent in structured form via the Peppol network.
6. Pro plan trial
When creating its first workspace, the customer receives a free fourteen (14) day trial of the Pro plan, for one profile, without a payment card. The trial is granted only once per customer; OZAPP may refuse it in the event of multiple sign-ups for the same customer. Subscribing to the Pro plan during the trial ends the trial.
At the end of the trial, the workspace automatically reverts to the Free plan, with no charge or commitment. Reviews, profiles and widgets are kept; only the features specific to the Pro plan are disabled (see Article 9 for profiles beyond the first one). The customer is notified by email three (3) days before the end of the trial.
7. Subscription, term and renewal
The Pro plan is a subscription taken out online and paid by card through our payment provider Stripe. The customer chooses one of the following two options:
- Monthly, with no minimum term: payable in advance each month, automatically renewed from month to month until cancelled;
- Yearly: payable in advance for twelve (12) months from the subscription date, automatically renewed for a further twelve-month period on each anniversary date, unless cancelled before that date. The customer receives a reminder email about forty-five (45) days, and no later than thirty (30) days, before each yearly renewal, stating the date and amount of the charge and how to cancel.
The customer may change billing option from its customer area: switching from monthly to yearly takes effect immediately and the difference is invoiced pro rata; switching from yearly to monthly takes effect at the end of the current year.
8. Adding and removing profiles
The price of the Pro subscription depends on the number of profiles covered. Adding a profile beyond the number of paid profiles is confirmed by the customer after the price of the additional profile is displayed, and is then invoiced immediately pro rata for the remainder of the current period; the exact amount appears on the invoice. If this payment fails, the profile is not added and nothing is charged.
Removing a profile gives rise to no refund or credit: the profile remains paid until the end of the current period (another profile may replace it at no cost) and the number of billed profiles is reduced at the next renewal date. Removing a profile permanently deletes its reviews and reply history from Revys (replies already published remain on the third-party platform).
9. Frozen profiles
When a workspace has more profiles than its plan covers (return to the Free plan after the end of the trial, a cancellation or a non-payment, or unpaid profiles), only the first profiles in order of connection, up to the plan’s limit, remain active. The others are frozen: they are no longer synchronised and no longer receive AI replies.
The reviews of a frozen profile remain displayed by the widgets and the API for thirty (30) days after its last synchronisation, then stop being displayed, so as not to keep showing reviews that their authors may have edited or deleted. Nothing is deleted: as soon as the plan covers the profile again, it is reactivated, resynchronised and its reviews are displayed again.
10. Payment and non-payment
Payment is due in advance, at subscription and then on each renewal date, by charging the payment method registered with Stripe. OZAPP does not store any payment card data.
If a payment fails, new attempts are made and the customer receives email reminders asking it to update its payment method; the Pro plan remains active during this period. If payment has not succeeded fourteen (14) days after the first failure, the subscription is terminated and the workspace automatically reverts to the Free plan: Pro features are disabled and profiles beyond the first one are frozen (Article 9). No data or widget is deleted. Any sums still owed remain due.
11. Cancellation by the customer and refunds
The customer may cancel its subscription at any time, online, from the Billing section of its customer area, at no cost and without giving reasons. Cancellation takes effect at the end of the current period (month or year): the customer keeps the Pro plan until that date, no further charge is made, and the workspace then reverts to the Free plan with its data and widgets kept. The customer may also delete its account at any time on simple request (Article 21).
Sums paid for the current period are not refunded, including pro rata, in the event of cancellation or removal of a profile, except in the case of:
- a billing error, corrected by refund or credit note as soon as it is identified;
- termination by OZAPP through no fault of the customer, or discontinuation of the service (Article 12);
- cancellation by the customer following a change to the Terms or the service that is unfavourable to it (Article 22);
in which cases the paid and unused portion of the period is refunded.
OZAPP may grant, at its sole discretion and free of charge, free access to the Pro plan (“complimentary Pro”). This access may be withdrawn with thirty (30) days’ notice by email (without notice if the customer breaches the Terms); the workspace then reverts to the Free plan, without loss of data and without any automatic billing.
12. Suspension and termination by OZAPP
OZAPP may suspend all or part of the access to the service, in a proportionate manner and for the time necessary, in the event of a threat to the security of the service, a breach of Article 16 (acceptable use) or a request from an authority. Except in an emergency, the customer is informed in advance; in all cases, it receives the reasons for the measure by email and may contest it by replying to that email.
In the event of a serious breach by the customer of its obligations, OZAPP may terminate the contract fifteen (15) days after a formal notice sent by email has remained without effect. OZAPP may also discontinue the service, or the Free plan, with ninety (90) days’ notice; the paid and unused portion of the period is then refunded.
13. Replies generated by artificial intelligence
AI Auto-Reply suggests replies to reviews written by artificial intelligence models. These replies are generated automatically and may be inaccurate, incomplete, inappropriate or contain made-up information (“hallucinations”). They constitute neither advice nor a commitment by OZAPP.
The customer chooses, profile by profile and depending on the review’s rating, one of the following modes:
- alert: the customer is notified of the new review and replies itself;
- approval (preview): a draft is suggested and is published only after review and approval by the customer;
- automatic publication: the reply is published without review, after the delay chosen by the customer.
By default, AI replies are disabled and replies to 1- to 3-star reviews are never published automatically; certain sensitive topics always require approval. The customer is the author of, and solely responsible for, the replies published under its profile, whether it approved them or enabled their automatic publication: it is up to the customer to review drafts before approving them and, if it enables automatic publication, to accept the risk and monitor what is published, which it may edit or remove at any time. OZAPP is not liable for the content of AI replies; it remains responsible, within the limits of Article 18, for the proper technical operation of the service, in particular for complying with the mode chosen by the customer.
The text of reviews and the customer’s instructions are sent to our artificial intelligence providers for the sole purpose of generating replies (see the privacy policy). The customer refrains from including unnecessary sensitive data in them.
14. Third-party platforms and reviews
Reviews are content published by their authors on third-party platforms; they remain the property of their authors and their reuse is subject to the terms of those platforms. Revys reproduces them as they are, without modifying them, and neither sells nor writes reviews. OZAPP is not liable for their content.
Third-party platforms are independent of OZAPP, which does not guarantee their availability, their decisions (suspension of a profile, removal of a review, rejection of a reply), or changes to their terms, quotas or application programming interfaces. Such changes may limit certain Revys features without OZAPP incurring any liability.
The customer is solely responsible for how it presents reviews on its own media. It undertakes not to present them in a misleading way (for example by suggesting that the reviews displayed are complete when it hides some of them) and to comply with the rules applicable to consumer reviews. Revys offers no guarantee that stars will be displayed in search engine results, which search engines alone decide.
15. Availability, maintenance and support
OZAPP uses reasonable means to ensure the availability and security of Revys, without guaranteeing uninterrupted or error-free operation. Interruptions may occur for maintenance, preferably at night (Brussels time) and, where they are foreseeable and significant, announced in advance. Widgets serve the latest known reviews when synchronisation is temporarily impossible.
Support is provided by email at hello@revys.io, in French, by a member of the Revys team. The indicative response time is twenty-four (24) business hours; it does not constitute a service-level commitment.
16. Acceptable use
The customer shall not, in particular:
- publish or have published fake reviews, buy reviews, or use Revys to manipulate reviews or replies;
- connect a profile it is not authorised to manage;
- publish through Revys content that is unlawful, defamatory, discriminatory or infringes the rights of third parties;
- circumvent the limits of the service (quotas, number of profiles, “Free widget by Revys” credit), extract data from it on a massive scale, resell it without written consent or disrupt its operation.
17. Reporting illegal content
Anyone may report content distributed by Revys that they consider illegal by writing to hello@revys.io, with the address of the page concerned, the content in question and the reasons for the report. This address is also the single point of contact for authorities and users within the meaning of Regulation (EU) 2022/2065 on digital services (communications in French or English). Reports are handled diligently; where content is restricted, the customer concerned is informed with the reasons for the decision and may contest it. Reviews originating from a third-party platform must also be reported to that platform, which alone can remove them.
18. Liability
OZAPP is bound by an obligation of means (best-efforts obligation). It is liable only for direct damage caused by a proven breach of its obligations. Indirect damage is excluded, in particular loss of revenue, customers, opportunity or data not backed up by the customer, as well as damage to reputation.
OZAPP’s total liability to a customer, for all damage and all incidents combined, is limited to one hundred euros (€100) per twelve (12) month period. This limit does not apply in the event of fraud (dol) or gross negligence (faute grave) by OZAPP, in the event of personal injury, or where the law prohibits limiting liability. The refund of an amount invoiced in error is not damage and is not subject to this limit.
19. Force majeure
Neither party is liable for a failure caused by an event reasonably beyond its control, in particular a general network failure, an outage or decision of a third-party platform or of a hosting provider not attributable to OZAPP, a large-scale cyberattack, a natural disaster or a decision of an authority. If the impediment lasts more than sixty (60) days, either party may terminate the contract by email; the paid and unused portion of the period is then refunded.
20. Intellectual property and licences
The Revys service, its trademark, its code and its content remain the exclusive property of OZAPP. The subscription grants the customer a non-exclusive, non-transferable right of use, for the term of the contract and for the purposes of its business.
The customer retains all its rights in its data, its settings and the replies published under its profile. It grants OZAPP, for the term of the contract and solely for the purpose of providing the service, a non-exclusive, royalty-free licence to host, reproduce and display this content and the reviews of its profiles (in particular in the widgets, the API and the structured data published on its websites).
Aggregated statistics. The customer authorises OZAPP to compute, from the data of its profiles (ratings, review dates, presence and timing of replies, business category, country), aggregated and anonymised statistics, and to publish them, for example in a Google reviews barometer. These statistics never contain the name of a review author, the text of a review or reply, or any data that could identify the customer or its business locations; a result is published only if it covers at least twenty (20) business locations. The customer may object at any time by email to privacy@revys.io: its data is then excluded from subsequent calculations.
21. Personal data and reversibility
For the personal data it processes on the customer’s behalf (in particular the names of review authors), OZAPP acts as a processor under the data processing agreement, which forms an integral part of the Terms. For the data of Revys users, OZAPP acts as controller under the privacy policy.
During the contract and for thirty (30) days after it ends, the customer may obtain, on simple request to privacy@revys.io, an export of its reviews and replies in a structured format. It may also request the deletion of its account, which takes place within the periods set out in the privacy policy, subject to data that the law requires to be kept (invoices).
22. Changes to the Terms and the service
OZAPP may change the Terms or the service for a valid reason (changes in the law, security, changes to third-party platforms, improvement of the service). Any change unfavourable to the customer is notified by email at least thirty (30) days before it takes effect; a customer who refuses it may cancel at no cost before that date and obtain a refund of the paid and unused portion of the period. Changes required by law or favourable to the customer may apply immediately. The version in force is published on this page, with its date.
23. If you are a consumer
Revys is not intended for consumers. If, however, a person acting for purposes outside any professional activity has subscribed to the Pro plan, that person benefits from the mandatory rights granted by the law of their country of residence, in particular a right of withdrawal of fourteen (14) days from the paid subscription (Belgian Code of Economic Law, Book VI), without having to give reasons. The provisions of these Terms that conflict with those rights do not apply to them.
To exercise it, it is sufficient to send a clear statement to hello@revys.io before the period expires, for example: “I hereby give notice that I withdraw from the contract for the Revys Pro subscription taken out on [date], in the name of [name], account email address [email], on [date].” The refund is made within fourteen (14) days, using the same means of payment, less, if immediate performance of the service was expressly requested, an amount proportionate to the service provided up to the withdrawal.
24. General provisions
- Assignment: the customer may not assign the contract without OZAPP’s written consent. OZAPP may assign it to a company that takes over all or part of its business, informing the customer by email.
- Evidence: OZAPP’s electronic records (acceptances, logs, emails) are binding between the parties, unless proven otherwise.
- Severability: if a clause is held to be void, the other clauses remain applicable and the void clause is replaced by the valid provision closest to its purpose.
- No waiver: failing to rely on a clause does not constitute a waiver of that clause.
- Language: the Terms are drafted in French; any translation is provided for information only and the French version prevails.
25. Governing law and disputes
These Terms are governed by Belgian law. In the event of a dispute, the parties will seek an amicable solution before taking any legal action, starting with a written complaint to hello@revys.io. Failing agreement within thirty (30) days, the dispute will be brought before the courts of the judicial district of Liège, Liège division, subject to the mandatory provisions protecting consumers, who may in particular bring proceedings before the courts of their place of residence and contact, free of charge, the Consumer Mediation Service (Service de médiation pour le consommateur) or the mediation body of their country.
